General Terms and Conditions for Suppliers
These General Terms of Purchase and Cooperation with Suppliers (hereinafter referred to as the “GTP”)
define the rules of cooperation between
AMS Marek Siedlaczek, Tax ID No.: 2220796901, hereinafter referred to as “AMS”,
and suppliers of materials, services, components and subcontractors,
hereinafter referred to as the “Supplier”.
These GTP apply to all orders placed by AMS,
unless otherwise agreed by the parties in writing.
Acceptance of the order or commencement of its execution constitutes acceptance of these GTP by the Supplier.

The GTP apply in particular to deliveries of:
The Supplier is obliged to provide products and services compliant with:
The Supplier bears full responsibility for:
In the case of materials or services requiring quality documentation,
the Supplier is obliged to provide appropriate documents, in particular:
provided they were required by AMS at the ordering stage.
The Supplier is obliged to use materials compliant with relevant industry standards,
unless otherwise specified in the order or documentation.
All information provided by AMS, in particular:
shall be treated as confidential.
The Supplier undertakes not to disclose to third parties any information received from AMS
without prior written consent from AMS.
The Supplier is not entitled to publish photos, models, documentation, project information
or use them in marketing materials, portfolios, social media or other publications
without prior consent from AMS.
The Supplier is not entitled to transfer execution of the order or part thereof to subcontractors
without prior consent from AMS.
If AMS consent is obtained, the Supplier bears full responsibility for the actions of subcontractors
as for its own actions.
Delivery deadlines specified in the order are binding.
The Supplier is obliged to immediately inform AMS about:
Partial deliveries require prior agreement with AMS.
The Supplier is obliged to secure the goods appropriately for transport and the nature of the products.
Components should be protected against:
AMS reserves the right to refuse acceptance of deliveries
not compliant with the order or improperly secured.
AMS has the right to file a complaint in the event of:
The Supplier is obliged to immediately respond to complaints
and undertake corrective actions.
AMS has the right to:
Transport costs related to the complaint shall be borne by the Supplier,
if the complaint is considered justified.
The Supplier is liable for damages resulting from:
The Supplier is liable for all damages resulting from the use of defective materials or services,
including damages incurred by AMS customers.
At AMS request, the Supplier is obliged to ensure traceability of materials or production batches.
The Supplier is obliged to retain quality documentation related to completed deliveries
for a minimum period of 5 years,
unless otherwise agreed by the parties.
The Supplier may not, without AMS consent, make changes regarding:
Force majeure shall mean events beyond the control of the parties, in particular:
The party affected by force majeure is obliged to immediately inform the other party.
In matters not regulated herein,
the provisions of Polish law shall apply.
Any disputes arising from cooperation between the parties
shall be settled by the court having jurisdiction over the registered office of AMS.
AMS reserves the right to update these GTP.
The current version of the document is published by AMS
and may be provided to Suppliers in electronic form.
